⚖️ Terms of Use and Service Conditions for UK Web Services
By accessing and using this website, or by entering into a contract for services with UK Web Services, you agree to be bound by the following Terms and Conditions, which take effect immediately upon your first use of the site or signing of the service agreement. If you do not agree to be bound by all of these Terms and Conditions, you do not have permission to access or use this website and must stop using it immediately.

1. Intellectual Property and Copyright
1.1 Ownership of Content
All rights, including copyright, database rights, and intellectual property rights, in this website and its content (including text, graphics, logos, images, and software) are owned by or licensed to UK Web Services(or UK Web Services Limited) and are protected by applicable law.
1.2 Permitted Use
You agree that you will access the contents solely for your personal, non-commercial use only. You may temporarily download and use the service on a single computing device and print out a single hard copy of any text part of the content for your personal use.
1.3 Prohibited Use
Except as permitted in Section 1.2 or by the Copyright, Designs and Patents Act 1988, you undertake not to copy, reproduce, republish, download, store in any medium, distribute, transmit, re-transmit, broadcast, modify, adapt, alter, or show in public any part of the UK Web Services website without the prior written permission of UK Web Services.
- You agree not to create a derivative work from any material contained in this site.
- The names, images, and logos identifying UK Web Services or third parties are proprietary marks. Nothing in these Terms grants you any licence or right to use any trademark or patent belonging to UK Web Services or any other third party.
1.4 Ownership of Website Files (Service-Specific)
(a) Client Content: The Client retains full ownership of all text, images, logos, and data provided to UK Web Services for use on the website.
(b) Bespoke Development: For all bespoke, paid projects, UK Web Services grants the Client a non-exclusive, perpetual license to use the final website code and design for the Client’s business purposes upon final payment of the project fee.
(c) Free Website Build: For any website provided under a “Free Build” promotional offer: i. UK Web Services retains the intellectual property rights and proprietary configuration to the website’s underlying code, development framework, template, and theme files. ii. The Client’s right to use the website is strictly conditioned upon adherence to the Minimum Service Term outlined in Section 5.1.
2. General Conditions of Site Use
2.1 Acceptance and Changes to Terms
UK Web Services reserves the right to change these Terms and Conditions at any time by posting changes online. Your continued use of the site or continued engagement for services after changes are posted constitutes your acceptance of the new Terms. You are responsible for regularly reviewing information posted online to obtain timely notice of such changes.
2.2 Lawful Use
You agree to use this site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of this site by, any third party. Prohibited conduct includes, without limitation: any unlawful activity, conduct that may harass or cause distress or inconvenience to any person, the transmission of obscene or offensive content, or disruption of the normal flow of dialogue within this site.
3. Limitation of Liability and Exclusion of Warranties
3.1 “AS IS” Basis
This site and its content, information, and services are provided “AS IS” and on an “AS AVAILABLE” basis, without any representation or endorsement and without warranty of any kind, whether express or implied. This includes, but is not limited to, the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security, and accuracy.
3.2 Limitation of Liability for Services
This clause applies to all services and contracts provided by UK Web Services (including, but not limited to, website design, development, maintenance, marketing, hosting advice, and consultancy).
(a) Direct Loss Limitation: In the event that UK Web Services is found liable for any direct loss or damage arising out of or in connection with a specific service contract, our total aggregate liability to the Client shall be strictly limited to the total amount paid by the Client to UK Web Services for the specific service from which the loss arose in the twelve (12) months immediately preceding the event giving rise to the claim.
(b) Exclusion of Indirect and Consequential Loss: In no event will UK Web Services be liable for any:
- Loss of profits, loss of sales or business, loss of anticipated savings, loss of or damage to goodwill, or loss of reputation.
- Indirect, special, or consequential loss or damage, including costs, expenses, or other claims for consequential compensation, howsoever caused.
- Loss arising from business interruption or loss of data, whether in action of contract, negligence, or other tortious action.
3.3 Specific Exclusions of Liability
The Client agrees that UK Web Services shall not be held liable for losses or damages resulting from the following:
(a) Security, Hacking, and Maintenance Services:
The Client acknowledges and agrees that the internet and website environments inherently carry risks, and that no security measure can guarantee absolute protection.
i. Initial Responsibility: Following the completion and handover of the project, the ultimate responsibility for website security, backups, and regular software updates rests with the Client, and UK Web Services bears no liability for security breaches, data loss, or downtime.
ii. Under Paid Maintenance: If the Client has a separate, explicit, paid Maintenance and Security Contract (“Maintenance Contract”) in place with UK Web Services, the following limits apply: * Scope of Service: UK Web Services commits to exercising reasonable skill and care in performing agreed-upon services (e.g., plugin updates, patching, server configuration changes). * Exclusions: UK Web Services shall not be liable for losses or damages arising from security breaches, data loss, or downtime caused by events beyond its direct control and reasonable foreseeability, including, but not limited to: * Zero-Day Exploits: Exploits where no patch or security update was publicly available at the time of the breach. * Third-Party Failures: Security vulnerabilities or failures introduced by third-party software (e.g., plugins, themes, APIs) or the Client’s hosting provider, even after updates are applied by UK Web Services. * Client Actions: Any security compromise caused by the Client or their authorised users (e.g., using weak passwords, installing unauthorised plugins). * Remedy Limit: In the event of a breach occurring while a Maintenance Contract is active, UK Web Services‘s liability shall be limited to the cost of recovering the website from the most recent known clean backup taken under the terms of the Maintenance Contract. UK Web Services explicitly excludes liability for any subsequent loss of business, profits, or data described in Section 3.2(b).
(b) Downtime and Service Interruption: Any loss or damage caused by hosting outages, domain expiry, or disruption of service due to the actions or failures of third-party providers (e.g., hosting companies, domain registrars, external APIs).
(c) Client Modifications: Any error, defect, or loss arising from modifications, changes, or maintenance performed on the website or service by the Client or any third party not authorised in writing by UK Web Services.
(d) Legal Compliance: Any legal or regulatory penalties or losses incurred by the Client arising from the Client’s failure to provide accurate legal text (such as their own Privacy Policy) or to follow legal advice provided by their own counsel.
3.4 Site Functionality Warranty Disclaimer
UK Web Services does not warrant that the functions contained in the material on this site will be uninterrupted or error-free, that defects will be corrected, or that this site or the server that makes it available are free of viruses or bugs.
4. Operational Clauses (Services & Client Responsibilities)
4.1 Client Cooperation and Input
The Client is responsible for providing all necessary content, images, data, and information required for the project in a timely manner. UK Web Services shall not be liable for any delays in project delivery caused by the Client’s failure to provide required input or feedback within agreed timescales. UK Web Services reserves the right to charge for additional time spent due to repeated delays or excessive changes requested by the Client outside the agreed scope.
4.2 Software Licensing and Updates
The Client acknowledges that the website may be built using open-source platforms and licensed third-party software. UK Web Services makes no warranty regarding the ongoing security or functionality of such third-party software. The Client is solely responsible for ensuring all software, plugins, and themes are kept up-to-date after final project handover.
4.3 Data Controller Responsibility
The Client acknowledges that they are the Data Controller for all personal data collected through the website. UK Web Services acts only as a Data Processor (where applicable) and is not responsible for the Client’s legal compliance with data protection laws (including the UK GDPR and DPA 2018).
4.4 Software Licensing and Updates
The Client acknowledges that the website may be built using open-source platforms and licensed third-party software. UK Web Services makes no warranty regarding the ongoing security or functionality of such third-party software. The Client is solely responsible for ensuring all software, plugins, and themes are kept up-to-date after final project handover, unless a valid and active Retainer Plan (Section 6) is in place.
4.5 Client Content Liability
The Client warrants that all content (text, images, media) provided to UK Web Services is legally owned or licensed by the Client and does not infringe on any third-party rights. The Client agrees to indemnify UK Web Services against any claims, damages, or losses arising from the content displayed on the website.
5. Service Contracts and Recurring Plans
5.1 The “Free Website Build” Offer
(a) Minimum Service Term (The Bond): The “Free Website Build” is conditional upon the Client committing to a mandatory initial term of twenty-four (24) consecutive months of website hosting/care services with UK Web Services (the “Minimum Service Term”), commencing from the Site Launch Date.
(b) Project Timeline and Delivery:
i. Queue Priority: “Free Build” projects are accepted on a first-come, first-served basis and are added to UK Web Services development queue.
ii. Non-Guaranteed Deadline: UK Web Services will use reasonable efforts to complete and deliver the website within an estimated period of one (1) month or as soon as possible, but no firm deadline or hard delivery date is guaranteed.
iii. Exclusion of Liability for Delay: The Client acknowledges that due to the promotional nature of the “Free Build” service, UK Web Services shall not be liable for any compensation, loss of business, or damages whatsoever arising from project delays, irrespective of cause.
(c) Early Termination Fee: If the Client terminates the hosting/care agreement for any reason before the completion of the Minimum Service Term, a fixed early termination fee of £250 (Two Hundred and Fifty Pounds Sterling) will be immediately payable to UK Web Services. This fee represents compensation for the development costs waived under the promotional offer.
(d) Hosting Requirement: The Client agrees that the website built under the “Free Build” promotion must be hosted exclusively with UK Web Services throughout the Minimum Service Term.
(e) Website Attribution: For all websites hosted under the Core Hosting Plan, the Client agrees to display a small, unobtrusive “Website Design & Hosting by UK Web Services” text link in the footer of all web pages. The Client shall not alter, remove, or conceal this link without the express written permission of UK Web Services.
5.2 Domain and Hosting
(a) Domain Ownership: The Client is solely responsible for purchasing, maintaining, and renewing their domain name [www.yourdomain.com](https://www.yourdomain.com). UK Web Services facilitates the connection but holds no ownership or control over the domain name itself.
(b) Hosting Fees: Fees for the hosting/care plan selected by the Client are payable monthly in advance. UK Web Services reserves the right to suspend or terminate the service for any client whose payments are overdue by more than fourteen (14) days.
(c) Website Transfer Out: Upon successful completion of the Minimum Service Term, the Client may request to transfer the website files to a new hosting provider. UK Web Services reserves the right to charge a standard, one-time file preparation and transfer fee of £50 to cover administrative and technical time.
5.3 Service Retainer Plans (Pro Care, Local Growth, Visibility Accelerator)
(a) Scope of Service: The specific services included in the Pro Care, Local Growth, and Visibility Accelerator plans are defined in the separate Service Level Agreement (SLA) or specific plan description provided at the time of purchase.
(b) Non-Rollover of Hours: Where a Retainer Plan includes a fixed amount of dedicated development time (e.g., 1.5 hours/month in the Local Growth Plan), any unused time does not roll over to the subsequent month and is forfeited. This time is provided on a use-it-or-lose-it basis within the calendar month.
(c) Exclusions: Retainer Plans cover maintenance, support, and minor updates as defined in the plan scope. They explicitly exclude the cost of major development projects (e.g., e-commerce implementation, complex API work), which will be quoted separately and charged at UK Web Services’s standard hourly rate of £60/hour.
5.4 Plan Changes (Upgrades and Downgrades)
(a) Upgrades: The Client may upgrade their service plan at any time with 30 days’ notice. The new plan will take immediate effect upon payment of the pro-rated fee difference.
(b) Downgrades (Restriction): The Client is expressly prohibited from downgrading their service plan during the first twelve (12) months of the Minimum Service Term.
(c) Downgrades (Minimum Tier): Under no circumstances is the Client permitted to downgrade to the Core Hosting Plan (£10/month) if they initially subscribed to any plan priced £29/month or higher.
(d) Post-12 Month Downgrade: After the initial twelve (12) months, the Client may request to downgrade to the Pro Care Plan (£29/month) or any intermediate plan, subject to thirty (30) days written notice and acceptance by UK Web Services.
6. Governing Law
6.1 Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
6.2 Dispute Resolution
Disputes arising here from shall be exclusively subject to the jurisdiction of the courts of England and Wales.
6.3 Severability
If any of these Terms and Conditions should be determined to be illegal, invalid, or otherwise unenforceable, then that Term or Condition shall be severed and deleted, and the remaining terms and conditions shall survive, remain in full force and effect, and continue to be binding and enforceable.
